Agreement to Terms

By accessing or using the website of Adhoc Support, LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website after any changes constitutes acceptance of the modified Terms.

Description of Services

Adhoc Support, LLC provides A2P (Application-to-Person) compliance registration services for the Twilio ecosystem. Our services include, but are not limited to:

  • Compliance audit and feasibility assessment for Toll-Free Verification, A2P 10DLC, and RCS registration
  • Preparation and submission of compliance registrations to Twilio, The Campaign Registry (TCR), and applicable carriers
  • Resubmission of rejected registrations with revised documentation
  • Ongoing compliance management via subscription plans

We also provide general technical consulting, custom development, and support services. Specific terms for service engagements may be outlined in separate service agreements or statements of work.

A2P Compliance Services - Important Terms

No Guarantee of Compliance Outcome

Adhoc Support, LLC does not and cannot guarantee that any compliance registration will be approved. Approval decisions are made solely by carriers, The Campaign Registry (TCR), Twilio, and/or other third-party entities involved in the compliance process. Our services consist of expert preparation, documentation, and submission of your compliance registration based on our knowledge and experience. We are not liable for rejections, delays, or other outcomes outside of our control.

Service Fees Are Non-Refundable

All fees charged by Adhoc Support, LLC are for professional services rendered, specifically our time, expertise, and effort in preparing and submitting compliance registrations. All service fees are non-refundable regardless of the outcome of the compliance submission. This includes:

  • One-time audit fees
  • One-time submission fees
  • Bundle fees (audit + submission)
  • RCS registration fees
  • Priority handling add-on fees
  • Resubmission fees
  • Monthly subscription fees (non-refundable for the current billing period)
  • Overage fees

Third-Party Twilio Fees

Compliance registrations with Twilio, TCR, and carriers incur their own fees (e.g., brand registration fees, campaign vetting fees, monthly campaign fees, carrier surcharges). These third-party fees are separate from and in addition to Adhoc Support service fees. Third-party fees are paid directly by you through your own Twilio account. Adhoc Support, LLC does not collect, remit, or manage Twilio fees on your behalf. We provide estimated fee information for transparency, but actual fees are determined by Twilio and are subject to change.

Client Responsibilities

By using our A2P compliance services, you acknowledge and agree that:

  • You are solely responsible for maintaining your Twilio account and for any charges incurred by Twilio as a result of compliance submissions
  • You will provide accurate, truthful, and complete business information for use in compliance registrations
  • You will respond to information requests from Adhoc Support in a timely manner
  • Your messaging use case is lawful and complies with all applicable regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier policies
  • You have the legal authority to register your business and messaging campaigns

Payment Terms

Pay-as-you-go Services

Payment for pay-as-you-go services (audit, submission, bundle, RCS registration) is due in full before work begins. For two-step processes (audit followed by submission), payment for the audit is due upfront. If the audit results in a go recommendation and you choose to proceed, payment for the submission step is due before submission work begins.

Subscription Services

  • Subscription fees are billed monthly on the anniversary of your subscription start date
  • Unused submissions within a billing period do not roll over to the next period
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • No refunds will be issued for partial billing periods
  • Overage fees for additional submissions beyond your plan allowance are billed at the end of each billing period
  • Annual prepaid subscriptions are billed upfront for the full year and are non-refundable

Resubmissions

Pay-as-you-go services include a specified number of resubmissions as described in the service plan. Subscription resubmission allowances vary by tier. Additional resubmissions beyond included allowances are billed at the applicable rate.

Service Level Agreements (SLAs)

Response SLAs (e.g., 4 business hours, 8 business hours, 24 business hours) refer to the time within which Adhoc Support will begin work on your submission after payment is received and all required information has been provided. SLAs are measured in business hours (Monday through Friday, 9:00 AM to 5:00 PM Eastern Time, excluding federal holidays).

SLAs do not guarantee that your compliance registration will be reviewed, processed, or approved by Twilio, TCR, or carriers within any specific timeframe. Carrier and registry review timelines are outside of our control.

Contact Form Submissions

By submitting information through our contact form, you represent and warrant that:

  • All information you provide is accurate, current, and complete
  • You have the authority to provide such information
  • Your submission does not violate any applicable laws or regulations
  • Your submission does not contain any malicious code or harmful content

We reserve the right to refuse service to anyone for any reason at any time.

SMS/Text Messaging Terms

If you opt in to receive SMS/text messages from Adhoc Support, LLC, you agree to the following terms:

  • Authorization: You confirm that you are the owner or authorized user of the phone number provided and that you are authorized to consent to receive text messages at that number.
  • Consent: You consent to receive automated SMS/text messages from Adhoc Support, LLC at the phone number you provided. This consent is not a condition of purchasing any goods or services.
  • Message Content: Messages may include responses to inquiries, submission status updates, appointment reminders, service updates, and other transactional communications.
  • Message Frequency: Message frequency varies based on your inquiry and service needs.
  • Costs: Message and data rates may apply. You are responsible for any charges from your mobile carrier.
  • Opt-Out: You may revoke your consent and stop receiving SMS messages at any time by texting STOP to any message you receive from us.
  • Help: For assistance with our SMS program, text HELP to any message or email us at support@adhocsupportllc.com.
  • Carrier Disclaimer: We are not responsible for any delays or failures in message delivery. Carriers are not liable for delayed or undelivered messages.
  • Privacy: Your phone number and opt-in consent will not be shared with or sold to third parties for marketing purposes. See our Privacy Policy for more information.

Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Adhoc Support, LLC or its content suppliers and is protected by United States and international copyright laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from this website without our prior written consent.

Prohibited Uses

You agree not to use our website or services:

  • For any unlawful purpose or in violation of any applicable laws
  • To harass, abuse, or harm another person or entity
  • To submit false, misleading, or fraudulent information for compliance registrations
  • To register messaging campaigns that violate carrier policies, TCPA, or other regulations
  • To impersonate any person or entity or misrepresent your affiliation
  • To interfere with or disrupt the website or servers
  • To attempt to gain unauthorized access to any part of the website
  • To transmit any viruses, malware, or other harmful code

Disclaimer of Warranties

THIS WEBSITE AND ALL INFORMATION, CONTENT, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ADHOC SUPPORT, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY COMPLIANCE REGISTRATION WILL BE APPROVED, THAT CARRIER OR REGISTRY REVIEW WILL BE COMPLETED WITHIN ANY SPECIFIC TIMEFRAME, OR THAT OUR SERVICES WILL RESULT IN ANY PARTICULAR OUTCOME.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADHOC SUPPORT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, MESSAGING CAPABILITIES, BUSINESS OPPORTUNITIES, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THIS WEBSITE OR OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE TOTAL AMOUNT PAID BY YOU TO ADHOC SUPPORT, LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Adhoc Support, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of the website or services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any false, misleading, or inaccurate information you provide for compliance registrations
  • Your messaging activities, including any claims related to TCPA violations or carrier policy violations
  • Any content you submit through the website

Third-Party Links

Our website may contain links to third-party websites or services, including Twilio, The Campaign Registry, and carrier websites. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Texas.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Adhoc Support, LLC regarding your use of this website and supersede all prior agreements and understandings.
